1. Commodity Trading Terms

1.1 Trading Eligibility

To enter into commodity trading agreements with UAG, you must:

• Be a legally registered entity or individual with capacity to contract
• Provide valid business registration and tax clearance certificates
• Complete our Know Your Customer (KYC) process
• Maintain required licenses for agricultural trading in Zambia
• Have verifiable farming or trading history

2. Payment Terms

2.1 Payment Methods

We accept payments through:

• Bank transfers (Zambian Kwacha or USD accounts)
• Letters of Credit for international transactions
• Mobile money for small-scale farmers
• Pre-approved payment plans for input supplies

2.2 Payment Schedule

Payment terms are specified in individual contracts. Standard terms include:

• 30-60 days from invoice date for approved buyers
• Advance payment for first-time customers
• Escrow services for large transactions
• Late payment penalties at 2% per month

3. Delivery and Logistics

3.1 Delivery Terms

All deliveries are subject to:

• Inspection at our weighbridge upon arrival
• Quality testing before acceptance
• Proper documentation (delivery notes, waybills)
• Compliance with Zambian transport regulations

3.2 Risk of Loss

Risk of loss or damage to products passes to you upon our delivery to the carrier or your designated representative, unless otherwise specified in our written agreement.

4. User Obligations

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Misrepresent your identity or business credentials
• Interfere with or disrupt our services
• Attempt to gain unauthorized access to our systems
• Submit false or misleading information
• Engage in price manipulation or market abuse
• Violate any applicable laws or regulations

5. Intellectual Property Rights

The UAG platform, including all content, features, and functionality, is owned by United African Grain Ltd and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from our platform without our express written permission.

6. Limitation of Liability

To the fullest extent permitted by law, in no event shall UAG be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any conduct or content of any third party
• Unauthorized access to or alteration of your data
• Market fluctuations affecting commodity values
• Weather-related delays or force majeure events

7. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

8. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively by the courts of Zambia.

10. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations, it shall be submitted to mediation in accordance with the rules of the Zambia Centre for Dispute Resolution.

If mediation fails, the dispute shall be finally resolved by arbitration in Lusaka, Zambia, in accordance with the Arbitration Act of Zambia.
